Terms of Service
Please read these terms carefully before using our service.

1. Introduction
Busy Board (“Company,” “us,” or “we”) provides the website(s) under the busyboard.co.za domain (collectively, the “Sites”), and our SaaS platform for telecommunications management, including but not limited to managing organizations, users, phone numbers, SIP providers, call credits, and related services (together with the Sites, the “Service”). Your use of the Service is subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the “Terms of Service” or the “Agreement”).
This Agreement explains our obligations to you, and your obligations to us. Except as noted otherwise below, this Agreement is the entire Agreement between us. By using the Sites and the Service in any way, you are agreeing to comply with these Terms of Service, our Privacy Policy found here: Privacy Policy, and any other legal notices or conditions or guidelines posted on the Sites.

2. Acknowledgement and Acceptance of Terms
By using the Service or accessing the Sites, you agree to the Terms of Service and the Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service. In addition, when using the Service, you shall be subject to any posted guidelines or rules applicable to the Service, such as the terms of specific Customer Packages or Call Credit Packages, which may contain terms and conditions in addition to those in these Terms of Service.
Our Service may integrate with third-party services, such as Phone Number Providers. Please be aware that your activities with these third parties may be subject to their own additional terms of service.
Prices for the Service, including for Customer Packages and Call Credit Packages, are subject to change upon 30 days’ notice from us. Such notice may be provided at any time by posting the changes to the Sites or the Service itself. Busy Board shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.
3. Eligibility
The Service is available only for individuals aged 18 years or older.
If you are entering into these Terms of Service on behalf of a company, organization, or other legal entity (an "Organization"), you represent that you have the authority to bind such entity, its affiliates, and all users who access the Service through your account to these Terms of Service. In this case, the terms “you” or “your” shall refer to such Organization, its affiliates, and its associated users. If you do not have such authority, or if you do not agree with these Terms of Service, you must not accept this Agreement and may not use the Service. You further agree that you assume all responsibility and liability for your Organization's use of the Service.
4. Account Information
Registering for an Account:
To use the Service, your Organization will need to register and create an account. You must provide accurate and complete information. We may maintain different types of accounts for different types of users (e.g., Organization administrators, agents).
Your Responsibility for Your Account:
You are responsible for all activity that occurs under your Organization's account. It is your sole responsibility to: (i) control the dissemination and use of your account credentials and passwords; (ii) ensure that no unauthorized person shall have access to your account; and (iii) promptly inform us of any need to deactivate an account or password. We are not liable for any harm related to the theft or your disclosure of passwords. You shall immediately notify us of any unauthorized use of your account or any breach of security.
How to Control Your Account:
You may control your account and how you interact with the Service by changing the settings in your dashboard. By providing us with your email address, you consent to our using the email address to send you Service-related notices, including any notices required by law.
5. What We Own
Except for User Content (as defined below), all materials on the Service and the Service itself, including all Intellectual Property Rights, text, graphics, user interfaces, trademarks, logos, sounds, and computer code (collectively, the “Content”), including the design, structure, and “look and feel” of such Content, is owned by or licensed to us and is protected by copyright, trademark, and other laws.
Subject to your compliance with this Agreement, Busy Board provides you with a non-exclusive, revocable, non-transferable license to use the Service as expressly permitted by its features and functionality. Busy Board may terminate this license at any time, for any reason or no reason.
6. User Content
Any content your Organization or its users submit, post, display, or otherwise make available on the Service is referred to as “User Content.” This includes, but is not limited to, data uploaded to your Knowledge Base, call handling instructions, audio files, and any other configurations or data provided by you. You retain ownership of your User Content.
You grant us a non-exclusive, royalty-free, perpetual, worldwide license to use, modify, reproduce, and display your User Content solely for the purposes of operating, providing, and improving the Service.
Additionally, you grant to Busy Board a nonexclusive, worldwide, royalty-free, irrevocable right to access, collect, and use your data to: (i) provide the Services; (ii) improve and enhance the Services and its other offerings; and (iii) produce aggregated, anonymized data that does not identify you or any individual (the “Aggregated Data”). We may use this Aggregated Data (e.g., aggregate call statistics, system performance metrics) for any purpose without restriction.
7. Rules
Your Obligations to End Users:
Your "end users" are the individuals who make or receive calls through your use of our Service. We do not have a direct relationship with your end users. You are solely responsible for your relationship with them, including compliance with all applicable laws in the Republic of South Africa regarding call recording, consent, and data privacy (such as POPIA). You must provide a clear privacy policy to your end users that explains how you collect and use their information.
Restricted Content and Use of the Service:
Your use of the Service is subject to all applicable laws and regulations. You shall not:
- Upload User Content that is unlawful, harmful, abusive, harassing, defamatory, or otherwise objectionable.
- Use the Service for activities that seek to harm or exploit children.
- Use the Service to transmit spam, chain letters, illegal robocalls, or other unsolicited communications.
- Attempt to probe, scan, or test the vulnerability of the Service, or breach its security or authentication measures.
- Reverse engineer, decompile, or otherwise attempt to discover the source code of the Service.
- Use the Service to build a competitive product.
- Take any action that imposes an unreasonable or disproportionately large load on our infrastructure, including the SIP network.
- Use the Service or any Content for any purpose that is unlawful or prohibited by these Terms of Service.
- Crucially, store, collect, or transmit highly sensitive information such as ID numbers, unencrypted passwords, or full credit card information (PCI-DSS) through the Service.
8. Third-Party Content
We may provide links to third-party websites or services, such as those of Phone Number Providers. We do not endorse and are not responsible for the content, products, or services of these third parties. Your use of third-party services is at your own risk and subject to their terms and conditions.
9. Billing and Payment
Fees:
You agree to pay all fees associated with your selected Customer Package and any usage-based fees, such as for Call Credit Packages. All prices are listed in South African Rand (ZAR). An upgrade from a free or lower-tier plan to a paying plan will bill you immediately.
Payment Terms:
All paid plans are billed in advance on a monthly or annual basis and are non-refundable. There will be no refunds or credits for partial periods of service, upgrade/downgrade refunds, or refunds for unused time with an open account.
Call Credits:
Call Credit Packages are purchased in advance and are non-refundable. Credits are deducted from your account based on call duration in seconds, as specified in your package.
Taxes:
All fees are exclusive of all taxes (including VAT), levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
Promo Codes:
Any Promo Codes offered are subject to their specific terms, may be used only once, and are not redeemable for cash.
10. Privacy
Our Privacy Policy, available at privacy.html, applies to the use of the Service and its terms are made a part of these Terms of Service by this reference. You understand that by using the Service you consent to the collection, use, and disclosure of your Personal Information and aggregate data as set forth in our Privacy Policy.
Our Terms of Service may incorporate a Data Processing Addendum (“DPA”) when you use our Services to process Customer Data. If applicable, by agreeing to these Terms, you also agree to the DPA, which will be made available to you.
11. Disclaimer of Warranties and Limitation of Liability

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Artificial Intelligence Disclaimer:
The Service includes AI-enabled technology, such as features powered by your Knowledge Base. This technology automatically generates content and responses. This AI-generated content is provided on an "as-is" basis. We do not give any warranties as to the accuracy, adequacy, or completeness of any content generated by the AI. You are solely responsible for all decisions made and actions taken based on this content.
EMERGENCY SERVICES DISCLAIMER:
THE SERVICE IS NOT A REPLACEMENT FOR TRADITIONAL TELEPHONE SERVICES. THE SERVICE CANNOT AND SHOULD NOT BE USED TO CONTACT EMERGENCY SERVICES, SUCH AS 10111, 10177, or 112. You must use a traditional wireline or wireless telephone service to make emergency calls. You acknowledge and agree that Busy Board shall not be held liable for any claim, damage, or loss arising from or relating to the inability to use the Service to contact emergency services.
Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUSY BOARD, ITS AFFILIATES, AGENTS, DIRECTORS, OR EMPLOYEES BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS IN AN AMOUNT EXCEEDING THE FEES YOU PAID TO BUSY BOARD HEREUNDER DURING THE TWELVE (12) MONTHS PRIOR TO THE CAUSE OF ACTION.
12. Changes to the Service, Termination, and Indemnity
We may, without prior notice, change the Service, add or remove features, or create usage limits.
We may permanently or temporarily terminate, downgrade, or suspend your access to the Service without prior notice and liability if, in our sole determination, you violate any provision of this Agreement, or for non-payment of fees. Upon termination, you continue to be bound by this Agreement.
You agree to defend, indemnify, and hold us and our Affiliates harmless from any demands, loss, liability, claims, or expenses (including attorneys’ fees) made against us by any third party due to or arising out of your User Content, your use of the Service, or your violation of these Terms of Service or any law.
13. Google Calendar Integration
By opting to use our Google Calendar integration, you acknowledge and agree to the following:
- User Responsibility: You are solely responsible for all data, events, and scheduling information synchronized from your Google account. Busy Board is an "Operator" on your behalf.
- Reliability: While we strive for seamless synchronization, we are not responsible for scheduling conflicts, missed appointments, or data discrepancies caused by inaccuracies in your Google Calendar or limitations/downtime of the Google API.
- Access Revocation: You may disconnect this integration at any time through your settings. Disconnecting will immediately and permanently revoke Busy Board’s access to your Google account.
- Data Protection & Sovereignty: Your synced calendar data is strictly protected. We do not provide "backdoor" access or sharing of your data with any government, regulatory body, or third party. Your business information is private, safe, and governed by South African data protection principles.
14. Copyright Policy
Busy Board respects the intellectual property of others. If you believe your copyrighted work has been infringed upon, please send a compliant notice to our designated agent at:

15. Amendments, Notification Procedures, and Changes to the Agreement
We reserve the right to modify or update these Terms of Service from time to time. When we change the Agreement in a material manner, we will update the “Last Updated” date at the top of this page and may notify you. Your continued use of the Service after any such change constitutes your acceptance of the new Terms of Service.
16. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the Republic of South Africa, without respect to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Durban, KwaZulu-Natal for any legal action arising out of this Agreement.
17. Miscellaneous
Assignment:
This Agreement may not be transferred or assigned by you, but may be assigned by Busy Board without restriction.
Entire Agreement/Severability:
These Terms of Service, together with the Privacy Policy and any amendments and any additional agreements you may enter into with Busy Board, shall constitute the entire agreement between you and us. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
No Waiver:
No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
